Acceptable Use Policy

This Acceptable Use Policy (“AUP”) governs Customer’s access to and use of the Medical Screenings Unlimited, Inc. (“MSU”) software-as-a-service platform, applications, dashboards, and related services (collectively, the “Services”). The AUP is incorporated by reference into, and forms part of, the applicable MSU SaaS Agreement or other agreement governing use of the Services.

Capitalized terms not defined in this AUP have the meanings given in the applicable agreement.

  1. Permitted Use

Customer may use the Services solely for lawful, authorized business purposes consistent with:

  • the applicable MSU agreement
  • this AUP
  • MSU’s Privacy Policy
  • the Data Processing Agreement (if applicable); and
  • all applicable laws and regulations.

Customer is responsible for ensuring that its employees, contractors, users, and any third party accessing the Services on its behalf comply with this AUP.

  1. Prohibited Activities

Customer must not, and must not permit any user to, use the Services to:

  • Illegal, Harmful, or Abusive Conduct
  • Violate any applicable law, regulation, or court order.
  • Post, transmit, or store content that is unlawful, fraudulent, threatening, abusive, harassing, defamatory, obscene, or otherwise harmful.
  • Promote or condone hate, discrimination, abuse, violence, terrorism, or self-harm
    • Security, Integrity, and System Abuse
  • Introduce malware, spyware, ransomware, viruses, or other malicious code.
  • Engage in phishing, spoofing, credential harvesting, or similar deceptive practices.
  • Attempt to gain unauthorized access to the Services, MSU systems, or date.
  • Interfere with, disrupt, or degrade the integrity, performance, or security of the Services.
    • Data Misuse
  • Upload, collect, store, or process date that Customer does not have the legal right to use.
  • Upload or transmit Personal Data, sensitive data, or confidential information outside the scope of the Services or without appropriate authorization.
  • Use the Services to collect or process date in a manner that violates applicable privacy or date protection laws.
    • Misrepresentation and Deceptive Practices
  • Engage in deceptive, misleading, or unfair commercial practices.
  • Misrepresent Customer’s identity, authority, or relationship with MSU.
  • Use the Services to send unsolicited commercial electronic messages (spam).
    • Child Exploitation and Weapons
  • Post or transmit content that exploits, abuse, or endangers children.
  • Offer, promote, or facilitate weapons or illegal goods.

 

  1. Health-Related and Regulated Data

The Services may support the processing of health-related, biometric, or screening data only:

  • where such processing is explicitly contemplated by the Services
  • where Customer has obtained all required notices, consents, and authorizations; and
  • where such processing complies with applicable law and any governing agreements (including a Data Processing Agreement and/or Business Associate Agreement (if applicable).

Customer must not use the Services to process regulated data in violation of applicable healthcare, privacy, or data protection laws.

  1. Customer Responsibilities

Customer is responsible for:

  • the accuracy, legality, and integrity of all data it submits to the Services
  • maintaining appropriate administrative, technical, and organizational safeguards for its users
  • ensuring compliance with all applicable laws governing its use of the Services; and
  • promptly notifying MSU of any actual or suspect misuse, security incident, or violation of this AUP.

 

  1. Monitoring and Enforcement

MSU does not actively monitor or police Customer content as a general matter. However, MSU reserves the right to:

  • investigate suspected violations of this AUP
  • remove or restrict access to content that violates this AUP or applicable law; and
  • suspend or terminate access to the Services where MSU reasonably determines that a violation has occurred.

MSU’s enforcement actions may be taken without prior notice, where necessary to protect the Services, MSU, customers, or third parties.

  1. No Responsibility for Customer Content

Customer acknowledges and agrees that MSU is not responsible for:

  • the content, data, or communications uploaded or transmitted by Customer or its users; or
  • any use of the Services by Customer that is inconsistent with this AUP or applicable law.

Customer remains solely responsible for its use of the Services and the Activities of its users.

  1. Relationship with Other Agreements

This AUP supplements, and does not replace, the terms of the applicable MSU agreement, Privacy Policy, and Data Processing Agreement. In the event of a conflict, the order of precedence set forth in the applicable agreement will govern.

  1. Changes to This AUP

MSU may update this AUP from time to time. Updated versions will be effective as of the date posted. Continued use of the Services after an update constitutes acceptance of the revised AUP.
